Terms of Service

1. Agreement to these terms
These Terms of Service (“Terms”) govern your access to and use of InvoiceWice (the “Service”), operated from Lithuania. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
InvoiceWice provides tools to manage clients, invoice templates, and invoice generation, including optional email delivery of invoices to your clients. Features may change over time. We aim for reasonable availability but do not guarantee uninterrupted access.
3. Eligibility and accounts
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately at tomas@munno.lt if you suspect unauthorised access.
4. Your content and responsibilities
You retain ownership of data you enter (including client details and invoice content). You grant us a licence to host, process, and transmit that data solely to provide the Service (including sending email to recipients you designate).
You are solely responsible for:
- The accuracy of invoices, tax, and legal compliance in your jurisdiction.
- Obtaining any consent or legal basis required to process your clients’ personal data.
- Ensuring email delivery complies with anti-spam and marketing laws where applicable.
5. Acceptable use
You agree not to:
- Use the Service for unlawful purposes or to violate third-party rights.
- Attempt to gain unauthorised access to systems, data, or other users’ accounts.
- Upload malware, overload infrastructure, or scrape the Service in a way that harms it.
- Use the Service to send unsolicited bulk email unrelated to legitimate invoicing.
We may suspend or terminate access for violations of these Terms.
6. Fees and trials
We may offer free trials or promotional access. Paid plans, if offered, will be charged at the prices and billing terms shown at purchase (including any third-party payment processor terms). Until you subscribe through an announced checkout flow, the Service may be provided without charge or under terms we communicate separately.
7. Intellectual property
The Service, its branding, and underlying software are owned by us or our licensors. Except for the limited rights granted in these Terms, no rights are transferred to you.
8. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or meet your legal or accounting requirements—you should verify outputs with a qualified adviser.
9. Limitation of liability
To the fullest extent permitted by applicable law, we disclaim all liability of any kind for any claims, losses, or damages arising from or in connection with the Service or these Terms. You use the Service entirely at your own risk. Where mandatory law does not allow such exclusions, only the minimum liability required by that law applies.
10. Indemnity
You will defend and indemnify us against claims arising from your use of the Service, your content, or your breach of these Terms, except to the extent caused by our wilful misconduct.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service with reasonable notice where feasible. Provisions that by nature should survive (e.g. liability limits, indemnity) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Lithuania, excluding conflict-of-law rules. Courts of Lithuania shall have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence where applicable.
13. Changes to these terms
We may update these Terms from time to time. We will post the new version on this page and update the “Last updated” date. For material changes, we will provide notice where required by law (e.g. by email or in-app notice). Continued use after the effective date may constitute acceptance.
